Terms of Service

These Terms of Service ("Terms") govern your access to and use of RingWise websites, desktop software, accounts, and related services (collectively, the "Services"). By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.
1. Who we are
The Services are provided under the RingWise brand by the legal entity operating RingWise (Machined Intelligence and, where applicable, its affiliates) ("RingWise", "we", "us").
2. Eligibility and accounts
You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Services. You are responsible for providing accurate account information and keeping your credentials confidential. You are responsible for activity under your account, except where caused by our gross negligence or willful misconduct.
3. License to use the software
Subject to these Terms and your payment of applicable fees (if any), we grant you a limited, non-exclusive, non-transferable, revocable license to download and use the RingWise client software solely to access the Services for your internal business purposes, in accordance with documentation we provide.
You may not: (a) reverse engineer, decompile, or disassemble the software except where mandatory law allows; (b) rent, lease, sell, sublicense, or distribute the software; (c) remove proprietary notices; (d) use the Services to build a competing product or benchmark our models in violation of law or contract; (e) interfere with or disrupt the Services or third-party networks.
4. Acceptable use
You agree not to misuse the Services. For example, you must comply with applicable laws (including call recording, consent, telecommunications, privacy, and employment regulations in your jurisdiction), respect third-party rights, and not attempt unauthorized access, scraping beyond permitted use, or introducing malware.
5. Subscriptions, fees, and taxes
Paid plans, pricing, and features are presented on our website and/or checkout flows. Fees are billed through our payment processor (for example Stripe) and may renew automatically until canceled in accordance with the purchase flow and applicable consumer rules.
Taxes may apply based on your location and local regulations. If you purchase as a business, you are responsible for providing valid tax identifiers where required.
6. Third-party services
The Services may interoperate with third-party platforms (for example conferencing tools). Your use of third-party services is governed by those third parties' terms and policies. We do not control and are not responsible for third-party services.
7. AI outputs disclaimer
The Services may generate suggestions using automated systems. Outputs may be incorrect, incomplete, or unsuitable for your situation. Outputs are not legal, medical, financial, or professional advice. You are solely responsible for how you use outputs in customer conversations, emails, or documents.
8. Intellectual property
We and our licensors retain all rights, title, and interest in the Services, software, branding, and related materials. Except for the limited license above, no rights are granted by implication or estoppel.
9. Confidentiality
You may receive non-public information about the Services. You agree not to disclose our confidential information without prior written consent, except as required by law.
10. Warranty disclaimer
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant uninterrupted or error-free operation.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW: (A) WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR LOST PROFITS, REVENUE, GOODWILL, OR DATA; AND (B) OUR AGGREGATE LIABILITY FOR CLAIMS ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (I) THE AMOUNTS YOU PAID TO US FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY, OR (II) ONE HUNDRED EUROS (€100), IF NO FEES WERE PAID.
Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the fullest extent permitted by law. Nothing in these Terms limits liability that cannot be limited under mandatory law.
12. Indemnity
You will defend and indemnify us against any third-party claims and liabilities arising from your use of the Services, your breach of these Terms, or your violation of applicable law, except to the extent caused by our willful misconduct.
13. Suspension and termination
We may suspend or terminate access to the Services if you materially breach these Terms, create risk or legal exposure, or if we are required to do so by law. You may stop using the Services at any time. Provisions that by their nature should survive (including intellectual property, disclaimers, limitations of liability, and governing law) will survive termination.
14. Governing law and jurisdiction
These Terms are governed by the laws of Italy, without regard to conflict-of-law principles. The courts of Italy shall have exclusive jurisdiction over disputes arising from or relating to these Terms and the Services, subject to mandatory consumer protections that may apply to you and cannot be waived by contract.
15. Changes
We may modify these Terms by posting an updated version on this page. If changes are material, we will provide notice where required by law. Continued use after the effective date may constitute acceptance, as permitted by applicable law.
